Terms & Conditions

Introduction

Welcome to CyberWatch Limited ("CyberWatch," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our cybersecurity consulting services ("Services"). By engaging our Services, you agree to these Terms. If you do not agree with any part of these Terms, please do not use our Services.

Services

CyberWatch provides cybersecurity consulting services, including but not limited to risk assessments, security audits, incident response, and strategic cybersecurity planning. The specific services to be provided will be outlined in a separate Service Agreement.

Service Agreements

A formal Service Agreement will detail the scope of services, deliverables, and fees. The Service Agreement, along with these Terms, constitutes the entire agreement between you and CyberWatch. In the event of any conflict between these Terms and the Service Agreement, the Service Agreement will prevail.

Client Responsibilities

You agree to provide CyberWatch with accurate and complete information necessary for us to deliver our Services. You are responsible for ensuring that any information you provide does not violate any third-party rights or applicable laws.

Fees and Payment

Fees for our Services will be detailed in the Service Agreement. Payment terms will be specified in the Service Agreement and are generally due within 30 days of invoice receipt unless otherwise agreed upon. Late payments may incur interest charges.

Confidentiality

We will maintain the confidentiality of any sensitive information you provide to us in accordance with our Confidentiality Agreement. Similarly, you agree to keep any information we provide to you confidential and not to disclose it to third parties without our prior written consent.

Intellectual Property

All intellectual property rights in any deliverables provided by CyberWatch are owned by us unless otherwise agreed. You are granted a limited, non-exclusive license to use the deliverables for the purpose outlined in the Service Agreement.

Limitation of Liability

To the maximum extent permitted by law, CyberWatch’s liability for any loss or damage arising out of or in connection with the Services is limited to the total fees paid for the Services. We will not be liable for any indirect, incidental, or consequential damages.

Termination

Either party may terminate the Service Agreement with written notice as specified in the Agreement. Upon termination, you will pay for any services performed up to the date of termination.

Force Majeure

CyberWatch will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, or technological failures.

Governing Law

These Terms and the Service Agreement will be governed by and construed in accordance with the laws of New Zealand. Any disputes arising out of or in connection with these Terms or the Service Agreement will be subject to the exclusive jurisdiction of the New Zealand courts.

Amendments

CyberWatch reserves the right to amend these Terms from time to time. Any changes will be posted on our website and will become effective upon posting. Your continued use of our Services after any amendments indicates your acceptance of the revised Terms.
